1. Account Terms

Welcome to Klasio! To use our Services, you need to create an account. Here’s what you should know:

1.1 Eligibility: You must be at least 16 years old or have the consent of a parent or guardian to create an account. If you’re using Klasio on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.

1.2 Account Information: When signing up, you agree to provide accurate, current, and complete information about yourself as prompted by our registration form. It’s important to keep your account information updated.

1.3 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you suspect any unauthorized access, please notify us immediately.

1.4 Communication: By creating an account, you agree to receive communications from us via email or through our platform, including updates and promotional materials. You can opt out of promotional emails at any time.

1.5 User Conduct: You are responsible for all content and activity that occurs under your account. This includes ensuring that your use of Klasio complies with all applicable laws and regulations.

2. Account Activation

2.1 Activation Process: After completing the registration process, your account will be activated, and you will gain access to Klasio’s Services based on your selected plan.

2.2 Account Owner: If you create an account on behalf of an organization, you represent that you have the authority to bind that organization to these terms, and the organization will be considered the account owner.

2.3 Termination of Access: We reserve the right to suspend or terminate your access to Klasio if we believe you have violated these terms or engaged in harmful activities.

3. General Conditions of Use

3.1 Use of Services: You agree to use Klasio’s services only for lawful purposes and in accordance with these terms.

3.2 Prohibited Activities: You agree not to engage in any activities that could harm Klasio or its users, including but not limited to:

  • Using the Services for illegal purposes.
  • Uploading harmful or malicious content.
  • Attempting to gain unauthorized access to any part of our Services.
  • Interfering with other users’ enjoyment of Klasio.

3.3 Content Responsibility: You are solely responsible for any content you upload or create using our Services and for ensuring that it complies with these Terms and applicable laws.

4. Klasio Rights

4.1 Modification of Services: Klasio reserves the right to modify or discontinue our Services at any time without prior notice.

4.2 Monitoring Content: While we do not pre-screen content uploaded by users, we reserve the right to monitor user-generated content and remove any content that violates these Terms or is deemed inappropriate.

4.3 Termination Rights: We may terminate or suspend your account if we find that you have violated these Terms or engaged in abusive behavior towards our staff or other users.

4.4 Ownership of Content: Klasio retains ownership of all rights, titles, and interests in our Services and any associated intellectual property. 

5. Limitation of Liability

5.1 General Limitation: To the fullest extent permitted by law, Klasio will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services. This includes, but is not limited to, loss of profits, data loss, or any other form of financial loss.

5.2 Cap on Liability: Our total liability to you for any claims arising out of or related to these Terms or your use of the Services shall not exceed the amount paid by you to Klasio in the twelve months preceding the claim.

5.3 Exclusions: Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

5.4 Acknowledgment: You acknowledge that the limitations of liability set forth in this section are essential to our agreement and that we would not provide the Services without such limitations.

6. Intellectual Property and Content

6.1 Ownership: All content provided through Klasio’s Services, including text, images, videos, software, and other materials (“Klasio Content”), is owned by Klasio or its licensors and is protected by copyright and other intellectual property laws.

6.2 User Content: You retain ownership of any content you create or upload to Klasio (“User Content”). By uploading User Content, you grant Klasio a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, and distribute your content solely for the purpose of providing our Services.

6.3 Feedback: If you provide us with any feedback or suggestions regarding our Services, you grant us the right to use such feedback without any obligation to you.

6.4 Restrictions: You agree not to copy, modify, distribute, sell, or lease any part of our Services or Klasio Content without our express written permission.

7. Payment of Fees and Taxes

7.1 Subscription Fees: By signing up for a paid plan on Klasio, you agree to pay all applicable subscription fees as indicated during the registration process. Subscription fees are billed in advance on a monthly or annual basis depending on your chosen plan.

7.2 Transaction Fees: Transaction fees may apply when selling courses through our platform. These fees will be clearly outlined in your account settings.

7.3 Taxes: You are responsible for paying any taxes associated with your use of Klasio’s Services. This includes sales tax, value-added tax (VAT), and any other applicable taxes imposed by your jurisdiction.

7.4 Refund Policy: All payments are non-refundable unless otherwise specified in our refund policy. 

8. Klasio Payments

8.1 Payment Methods: Klasio accepts various payment methods, including credit cards and other electronic payment options. You agree to provide accurate payment information and to keep it updated.

8.2 Billing Cycle: Your subscription will be billed at the beginning of your billing cycle, which is either monthly or annually, depending on your selected plan. If you choose a monthly plan, you will be billed each month on the anniversary of your account activation date.

8.3 Payment Authorization: By providing your payment information, you authorize Klasio to charge your payment method for all applicable fees associated with your account.

8.4 Failed Payments: If your payment fails, we may suspend your access to our Services until the issue is resolved. You will be notified of any payment issues via email.

9. Account Downgrade and Termination Process

9.1 Downgrading Your Account: You can downgrade your account at any time through your account settings. Please note that downgrading may result in a loss of features or access to content that is only available on higher-tier plans.

9.2 Termination by You: If you wish to terminate your account, you may do so through your account settings or by contacting our support team. Upon termination, you will lose access to all content and features associated with your account.

9.3 Termination by Klasio: We reserve the right to suspend or terminate your account if we believe you have violated these terms or engaged in harmful activities. In such cases, we will notify you via email about the termination and the reasons behind it.

9.4 Data Retention: Upon termination of your account, we may retain certain information as required by law or for legitimate business purposes. However, we will delete all personal data associated with your account within a reasonable timeframe.

10. Modifications to the Services and Prices

10.1 Service Modifications: Klasio may modify, suspend, or discontinue any aspect of our Services at any time without prior notice. We will strive to inform you of significant changes whenever possible.

10.2 Price Changes: We reserve the right to change our subscription fees and pricing plans at any time. Any changes will take effect at the beginning of your next billing cycle after we provide notice of the changes.

10.3 Refunds for Price Changes: If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect. Refunds are not provided for any subscription fees already paid.

11. Optional Third-Party Tools

11.1 Third-Party Integrations: Klasio may offer integrations with third-party tools and services that enhance our platform’s functionality. These integrations are optional, and you can choose whether or not to use them.

11.2 No Responsibility for Third-Party Tools: Klasio does not endorse or assume any responsibility for the content or practices of third-party tools or services. Your use of such tools is at your own risk, and we encourage you to review their terms and privacy policies.

11.3 Changes to Third-Party Tools: We may remove or change third-party integrations at any time without notice, but we will make reasonable efforts to inform you of significant changes. 

12. White Label Apps

12.1 White Label Services: Klasio may offer white label solutions that allow you to rebrand and sell our Services under your own name. As a white-label partner, you will have access to specific features and tools designed for customization.

12.2 Content Responsibility: You are fully responsible for the content and services provided under your white-label brand. This includes ensuring that all content complies with applicable laws and does not infringe on the rights of any third parties.

12.3 Support Obligations: As a white-label partner, you are responsible for providing first-level support to your customers. Klasio will provide second-level support according to the Service Level Agreement (SLA) outlined during your onboarding process.

12.4 Termination of White Label Agreement: If your white label agreement is terminated, you must cease all use of Klasio’s Services under your brand. Any data or content associated with your white-label account will be handled according to our data retention policy.

13. Personal Data

13.1 Data Collection: Klasio collects personal data in accordance with our Privacy Policy. This includes information you provide when creating an account, using our Services, or communicating with us.

13.2 Data Usage: We use your personal data to provide and improve our Services, communicate with you, and comply with legal obligations. We do not sell your personal data to third parties.

13.3 User Rights: You have rights regarding your personal data, including the right to access, correct, or delete your information. For more details on how we handle your personal data, please refer to our Privacy Policy.

14. Fair Use Policy

14.1 Klasio does not limit the number of sales you can make on their platform.

14.2 There are no restrictions on the monthly website traffic or Monthly Active Users (MAU).

14.3 All video content must be free from obscenity and vulgar portrayal of anything.

14.4 Users must ensure that all uploaded content complies with copyright laws, including obtaining necessary permissions for any third-party materials used. 

14.5 Users are allowed unlimited uploads for “Growth” and “Business” plans; however, to ensure optimal platform performance, we recommend adhering to reasonable limits, such as 

  • Keeping individual file sizes below 1 GB per video 
  • You can avail of 75 GB of storage in the cloud for the Growth Tier and 200 GB of storage in the cloud for the Business Tier.

14.6 If you exceed this limit, Klasio will reach out to discuss possible solutions like upgrading your plan or adjusting your usage.

14.7 Klasio will not immediately block your site from accepting new customers. 

14.8 However, if Klasio cannot contact you or come to an agreement within 10 days, your account may be restricted. 

14.9 Users must agree to this Fair Use Policy upon onboarding and acknowledge their responsibility for compliance. Violations of this policy may result in warnings, temporary suspension of upload privileges, or account termination depending on the severity of the infraction.

14.10 Klasio reserves the right to monitor usage patterns and intervene in cases of excessive or inappropriate uploads.

14.11 Regular audits may be conducted to ensure compliance with this policy.

14.12 This Fair Use Policy will be reviewed periodically and updated as necessary to reflect changes in technology, user needs, or legal requirements. Users will be informed of any significant changes to the policy.

15. Digital Millennium Copyright Act (DMCA)

15.1 Copyright Policy: Klasio respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that any content on our platform infringes your copyright, please contact us with the necessary details.

15.2 Notice Requirements: To file a DMCA notice, please provide us with a written communication that includes:

  • A physical or electronic signature of the copyright owner or authorized representative.
  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the material that is claimed to be infringing and its location on our Services.
  • Your contact information, including an address, telephone number, and email address.
  • A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner.
  • A statement made under penalty of perjury that the information in your notice is accurate.

15.3 Counter-Notification: If you believe that your material was removed by mistake or misidentification, you may submit a counter-notification to us.

16. Languages

16.1 Language of Communication: These Terms are provided in English, and all communications between you and Klasio will be conducted in English unless otherwise agreed upon.

16.2 Translations: If these Terms are translated into another language, the English version will prevail in case of any discrepancies between the translations.

17. General Terms

17.1 Entire Agreement: These terms constitute the entire agreement between you and Klasio regarding your use of our services and supersede any prior agreements or understandings.

17.2 Severability: If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.

17.3 Waiver: The failure of Klasio to enforce any right or provision of these terms shall not be deemed a waiver of such right or provision.

17.4 Governing Law: These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles.
